Eligibility Criteria:

These terms and conditions (“Terms”) govern this limited-time Offer (as defined below) from Themis Solutions Inc. and its affiliates (dba “Clio”). By accepting the Offer, you agree to be bound by these Terms. These Terms are in addition to the Clio Terms of Service located at clio.com/tos (the “ToS”) which govern your use of Clio products and services (including Clio Accounting). The Offer is valid between the dates of October 7th, 2024 and November 14, 2024 (the “Offer Period”) for Eligible Subscribers (as defined below), who acknowledge and agree to the Offer Requirements (as defined below).

If you are an Eligible Subscriber that has successfully signed up for and successfully attends the November 14th, 2024, Clio Lunch and Learn Webinar before the end of the Offer Period, then you will receive (i) twenty-five US dollar ($25 USD) prepaid UberEats gift card via email within an hour of attending the Webinar, subject to any Offer Requirements (the “Offer”).

“Eligible Subscribers” are Subscribers who: (i) are current Subscribers to Clio Manage during the Offer Period (whether on an EasyStart, Essentials, Essentials +, Advanced or Complete plan) and are in good standing; (ii) have never purchased the Clio Accounting feature; (iii) successfully registered for the November 14th, Lunch and Learn Webinar before the end of the Offer Period; (iv) have been directly invited to participate in this non-transferrable promotion through a communication initiated by a Clio employee or official Clio communication channel or the annual Clio Cloud Conference. Being in good standing with Clio means that you are up to date on all necessary payment obligations owed to Clio and that you are otherwise compliant with all obligations that you owe to Clio pursuant to these Terms, the ToS and otherwise.

The Offer is subject to the following requirements (the “Offer Requirements”), and by accepting the Offer, you acknowledge and agree to all Offer Requirements:
1. You must be an Eligible Subscriber (as defined above).
2. The Offer is for your personal use and may not be transferred to any other person unless expressly permitted by Clio.
3. The Offer may only be redeemed once per Eligible Subscriber and once per firm.
4. The Offer is subject to availability and limited attendance space.
5. Only Eligible Subscribers who reside in the United States, and are 18 years of age or older are eligible for this Offer.
6. The Eligible Subscriber’s firm must be domiciled in the United States and accept payments in USD.
7. These Terms are governed by the laws of British Columbia. All applicable federal, state, provincial, and local laws and regulations apply. Void where prohibited or restricted by law. PURCHASE NECESSARY. THIS PROMOTION CANNOT BE STACKED OR USED IN COMBINATION WITH ANY OTHER PROMOTION, DISCOUNT, OR OFFER BY CLIO, UNLESS EXPRESSLY PERMITTED BY CLIO. All federal, state, provincial, and local taxes and any expenses not specified herein are your sole responsibility.
8. Misrepresentation or abuse will result in disqualification for this Offer at the sole discretion of Clio. Clio is not liable for any loss or damage as a result of participation in or acceptance of this Offer, nor inability to claim this Offer due to technical issues on the part of the potential Eligible Subscriber. Any term or condition set out in these Terms, to the extent that it conflicts with any local laws or regulation is void and unenforceable to the extent, and only to the extent, to which it is prohibited or restricted.
10. BY ACCEPTING THE OFFER, YOU WAIVE ALL RIGHTS TO BRING (AND COVENANT NOT TO BRING) ANY CLAIM AGAINST CLIO OR ANY OTHERS ASSOCIATED WITH THIS OFFER. YOU FURTHER AGREE TO RELEASE AND HOLD HARMLESS CLIO FROM ANY AND ALL LIABILITY ARISING FROM YOUR ACCEPTANCE OF THE OFFER, OR CLIO’S USE OF ANY OF YOUR INFORMATION IN CONNECTION HEREWITH.
