Subject to your compliance with the Developer Terms of Service and the requirements found in Clio’s Brand Guidelines, Themis Solutions Inc. (dba “Clio”) grants you a limited, non-exclusive, non-assignable, non-transferable, worldwide, revocable right to use the Clio Icon, Name and/or Product Names solely in connection with an application (“Integration”) connected to the Clio API in accordance with the Developer Terms of Service.
The right to use the Clio Icon, Name and/or Product Names as granted herein does not imply or grant you any additional rights to use or display any Clio brand, logo, mark, name or icon not explicitly granted herein, nor does it automatically grant you any rights to distribute, market or promote any product or service or other intellectual property owned by Clio.
You may not:
• Use or display the Clio Icon, Name and/or Product Names in any way that is misleading, defamatory, infringing, libelous, disparaging, obscene, or otherwise objectionable to Clio in its sole discretion;
• Sublicense the Clio Icon, Name and/or Product Names and or purport to permit any third party to use the Clio Icon, Name and/or Product Names in any manner without Clio’s prior written consent;
• Use the Clio Icon, Name and/or Product Names in connection with merchandising or sale of related or promotional products not related to the Integration;
• Use the Clio Icon, Name and/or Product Names in a way that implies affiliation with, or sponsorship, endorsement, or approval by Clio of your products or services;
• Use the Clio Icon, Name and/or Product Names in a way that would damage Clio’s reputation or goodwill in the Clio Icon, Name and/or Product Names; or
• Alter, animate, or distort the Clio Icon, Name and/or Product Names or combine it with any other symbols, words, images, or designs, or incorporate them into a tagline or slogan.
In addition to the requirements under this License, you must at all times also comply with the Clio Brand Guidelines located at https://www.clio.com/about/brand-assets/brand-guidelines/.
We may change the Brand Guidelines without notice; you are responsible for keeping your use compliant with the current Brand Guidelines. Clio will be the sole beneficiary of any goodwill associated with your use of the Clio Icon, Name and/or Product Names.
All rights granted under this License will terminate simultaneously with the termination of the Developer Terms of Service. Clio retains the right to terminate this License without cause at any time.
